Vendavo has signed an agreement to acquire Model N’s High-Tech business unit, a move that broadens its software platform for semiconductor and high-tech manufacturers by adding channel data management and revenue execution capabilities.

Financial terms of the proposed transaction were not disclosed, and the acquisition remains subject to customary closing conditions.

The deal combines Vendavo’s pricing, quoting and rebate management software with Model N’s channel data management and execution technology, creating a more comprehensive platform for manufacturers managing complex pricing structures, distributor networks and incentive programs.

“We are investing to provide a unified solution that’s purpose-built for scale, complex channel dynamics, and price complexity that are hallmarks of semiconductor and high-tech manufacturing,” said Sharath Dorbala, chief executive officer of Vendavo. “This combination gives our customers the ability to own the full revenue lifecycle and command greater control over pricing, quoting, rebates, channel execution, and data.”

The acquisition targets a market where manufacturers contend with multilayer distribution channels, frequent product introductions, high-volume rebate programs and pressure to protect margins. By integrating channel execution with pricing and rebate strategies, Vendavo aims to provide customers with greater visibility into revenue performance and profitability.

Following the transaction, Model N will continue operating its life sciences business, serving pharmaceutical and medical technology customers worldwide.

Vendavo said it plans to maintain continuity for existing Model N High-Tech customers while integrating the business into its commercial platform. Customers will continue receiving support for current systems while gaining access to a broader suite of pricing, rebate and channel management capabilities over time.

The company expects the acquisition to strengthen its position in the semiconductor and high-tech manufacturing sectors by expanding its AI-powered revenue management platform. The combined offering is designed to connect pricing, quoting, rebates and channel execution into a unified workflow, enabling manufacturers to improve margin visibility, automate distributor interactions and make more data-driven commercial decisions.
